Business
valuation

We carry out valuations of enterprises or their organised parts for the purposes of:

  • purchase and sales transactions,
  • capital raising,
  • divisions or mergers,
  • restructuring,
  • impairment tests,
  • determination of value for owners.

As part of the business valuation process, we suggest the most appropriate methods to be applied in a given case, gather the information needed for the valuation (including analysis of the macroeconomic situation and the immediate industry environment), develop financial models, and present a full valuation report to the client.

Evaluation and analysis of investment projects

We carry out evaluations and analyses of investment projects for the purposes of:

  • profitability assessment,
  • preparation of feasibility studies,
  • determining capital requirements for project financing,
  • identifying optimal sources of project financing,
  • determining the project's impact on operational and financial risks,
  • assessment of the impact of decision options on the project value.

We carry out a comprehensive assessment of investment projects, which involves both traditional value measures - such as NPV, IRR, MIRR, payback period, rate of return, as well as more advanced tools - such as sensitivity analysis, Monte Carlo, scenario analysis, or real options valuation.

Financial planning and modelling

We prepare financial models for the purposes of:

  • business plans,
  • planning and budgeting,
  • financial analyses,
  • current liquidity management,
  • KPI reporting,
  • restructuring.

As part of financial modelling: we develop the concept of a model depending on the nature and particularities of the project; we prepare a preliminary outline of the model and identify the availability of input data feeding the model; we develop the preliminary structure of the model on the basis of information concerning the purposes for which the model is being developed, the particularities of the project, and the availability of input data; we prepare the financial model; we feed the model with input data and verify its correctness; we assess the sensitivity of results to changes in key input data.

Mergers and acquisitions

We support companies in merger and acquisition processes in the following areas:

  • assessing the legitimacy and profitability of the venture,
  • strategy consulting,
  • advice on due diligence,
  • raising capital for transaction execution,
  • feasibility studies,
  • identification of potential synergy effects,
  • comprehensive transaction execution and supervision, including coordination of efforts of other subcontractors (e.g. auditors, lawyers),
  • negotiation support.

We offer our clients advisory support at all stages of mergers and acquisitions - starting with an initial analysis of the transaction's profitability and identification of potential benefits and risks, through feasibility assessment and assistance in obtaining financing, and ending with support in the final negotiation process.

Raising capital

We offer advisory support in raising capital, including but not limited to:

  • issue of shares,
  • venture capital / private equity,
  • bank loans,
  • issue of bonds and other debt instruments,
  • leasing.

We support our clients in raising capital for investment projects, business development, restructuring, acquisitions of other entities. We analyse the possibilities and profitability of project implementation, develop an optimum financing structure, prepare documentation enabling the acquisition of financing, and support them in the process of negotiation with external financing entities.

Valuations and opinions for judicial purposes

We carry out valuation of companies or their organised parts as well as of individual assets in order to determine whether any potential damage has occurred and to estimate the amount of potential compensation.

Our team consists of people with a significant amount of professional experience as court experts. We have provided our advisory support in numerous court trials and preparatory proceedings. We also work with well-known law firms on a regular basis.

Business plans and feasibility studies

We prepare business plans and feasibility studies for planned projects, including in particular:

  • identifying the objectives for which the business plan is being developed,
  • preparing market analyses (market characteristics, market players, trends, development forecasts and probable changes),
  • preparing a SWOT analysis and Porter's 5 Forces,
  • developing a marketing plan (characteristics of the product and its potential clients, client segmentation, price setting process, identification of distribution channels, promotion methods),
  • preparing an operational plan (organisation of the company's management process, human resources management methods, a plan for the use of individual fixed assets in the business),
  • drawing up an investment schedule,
  • preparing a financial plan (guidelines for the financial analysis, investment expenditures, sources of project financing, planned values of income and project costs, calculation of demand for working capital, analysis of financial profitability and project feasibility, risk analysis, summary of financial analysis).

Business consulting

As part of the business consulting support we offer, we provide services in the fields of:

  • drawing up enterprise development strategies, restructuring and implementation of repair programmes,
  • designing and implementing controlling systems, including:
    • - conducting an audit of the controlling system currently in place,
    • - developing requirements for the controlling system - on the basis of conclusions drawn from the audit of the current controlling system and expectations of the company's management,
    • - developing a concept of functioning and implementation of a new controlling system adapted to the needs of the company and requirements of the management
    • - adapting the IT system to the needs of the controlling system,
    • - carrying out the actual implementation - acquainting individual stakeholders with the tasks and competencies in the field of controlling system operation,
    • - auditing the implemented controlling system - verification of the performance of the implemented controlling tools.

Valuation of intangible assets

We carry out valuations of intangible assets, including in particular: know-how, trademarks, contracts, customer relations, and patents. Valuations are conducted for the following purposes:

  • purchase and sales transactions,
  • management's/owners' specific individual needs,
  • in-kind contributions,
  • granting/acquiring a licence to use a given asset,
  • obtaining external financing secured with a given asset.

Valuation of financial instruments

We carry out valuations of financial instruments, including but not limited to::

  • equity instruments (including shares of non-public companies),
  • debt instruments (bonds, bills, debentures)
  • derivatives (forward contracts, swaps, options - including management option programmes under IFRS 2).

As part of the process of valuation of financial instruments, we determine appropriate valuation methods to be applied to a given instrument, create appropriate financial models, and provide the client with a full valuation report.

Impairment tests

We perform impairment tests for our clients. Impairment tests concern mainly:

  • goodwill arising from the acquisition of a company by another business,
  • intangible assets, especially upon reclassification from assets with an indefinite useful life to assets with a finite economic life,
  • shares in affiliated entities or joint ventures.

When carrying out impairment tests, we estimate fair value and value in use to determine recoverable amount. We perform impairment tests in accordance with international (including IAS 36 in particular) and national (National Accounting Standard 4) regulations.

Training in finance

We conduct training programmes in the area of:

  • finance,
  • management,
  • human resources,
  • European funds.

We provide training at various levels, adapted to the needs and skills of individual groups of recipients. Our team consists of people with extensive academic experience. We have delivered hundreds of training courses for businesses and public sector institutions.

European funds

We provide end-to-end services in the field of acquisition and management of European funds, including in particular:

  • counselling at every stage of obtaining EU funds and managing projects implemented by enterprises, local governments, and public finance sector institutions,
  • preparation of analyses and expert opinions on selected problems and aspects related to acquiring European and other funds as well as project implementation,
  • preparation of feasibility studies, financial analyses, applications for funding of investment projects from structural funds and other available European and national funds,
  • preparation of application documents together with obligatory appendixes,
  • management of investment and soft projects co-financed from non-domestic funds, especially in the field of monitoring, settlements/accounts, and reporting.

We have extensive experience in implementing projects in such areas as innovation, entrepreneurship, education, culture and tourism, transport, and waste management. We have successfully implemented dozens of projects supported with European under such programmes as: the Integrated Regional Operational Programme, the European Economic Area Financial Mechanism and the Norwegian Financial Mechanism, Operational Programme Infrastructure and Environment, Operational Programme Innovative Economy, Operational Programme Human Capital, and Regional Operational Programmes.

Financial accounting of EU-funded projects

Our comprehensive EU project management services include:

  • preparation of quarterly, annual, and final project reports and making any additions to the required documents,
  • checking costs against eligibility on the basis of invoice descriptions,
  • internal financial control in the scope of funds made available during project implementation,
  • evaluation and verification - together with the representatives of the beneficiary - of proposals submitted by contractors and suppliers of equipment and services,
  • ongoing monitoring of the progress and achievement of objectives and results set for the project as well as of the budget execution with analysis of any deviations from the plan
  • participation in supervision of information and promotion activities planned within the project,
  • ongoing cooperation with and provision of advice to the beneficiary's employees involved in the project and cooperation with subcontractors involved in the project,
  • participation in the control and audit of activities carried out by authorised institutions.

We support beneficiaries of EU programmes in the proper implementation of projects in both financial and material dimensions. We offer the services of project management and financial accounting of EU-funded projects to beneficiaries who have received EU support regardless of the source of that support.
